Terms & Conditions

Welcome to DAMON Studio™! We are excited to work with you. To ensure a smooth and professional experience for all parties, please read these Terms & Conditions carefully. By booking or using any of our services, you agree to be bound by the terms set out below. These Terms & Conditions are governed by and construed in accordance with the laws of Aruba. Any disputes arising from or related to these terms or our services shall be subject to the exclusive jurisdiction of the competent courts of Aruba.

1 - BOOKINGS & SESSIONS

1.1. Appointment Policy: Punctuality is expected. If you arrive late for your scheduled appointment, the session will not be extended to compensate for lost time, and the full price of the booked session remains payable. If your session runs beyond its scheduled end time, additional studio time may be purchased at the applicable rate, subject to availability. If no additional time is purchased, the session concludes at the scheduled end time without exception.
1.2. Cancellation & Rescheduling: Cancellations or rescheduling requests must be made at least 24 hours before the scheduled session. Cancellations made with less than 24 hours' notice may result in forfeiture of any deposit paid. DAMON Studio™ reserves the right to reschedule sessions due to unforeseen circumstances and will provide as much advance notice as possible in such cases.
1.3. Insufficient Session Time: DAMON Studio™ is under no obligation to provide additional time if a session's allotted time runs out. Clients are responsible for managing their time effectively during the session.
1.4. Unused Session Time: Any unused portion of a booked session expires upon the conclusion of that session and is non-refundable. Exceptions may be made only if communicated in writing by DAMON Studio™ prior to the session's conclusion.
1.5. Guest Policy: Clients may bring a reasonable number of guests into the studio at DAMON Studio™'s discretion. The client is fully responsible for the conduct and any damage caused by their guests. DAMON Studio™ reserves the right to ask any guest to leave if their presence is deemed disruptive to the session or other studio users.

2 - RECORDING SERVICES

2.1. Song Recording: Song recording sessions include standard in-session monitoring and direction. Unless a separate Mixing & Mastering package is purchased, recorded files will be delivered as raw, unprocessed audio. When purchased together with a Mixing & Mastering package, the terms in Section 3 apply to the mix and master of those recordings.
2.2. Re-recording: If a song is partially or fully re-recorded after the mixing and mastering process has begun or been completed, the mixing and mastering process will reset and a new delivery timeline will apply.
2.3. File Storage & Responsibility: DAMON Studio™ will retain client project files for three (3) months following delivery of the completed mix and master. This retention period resets if changes are made to the project. After this period, DAMON Studio™ is not responsible for lost, corrupted, or deleted files. If a file is found to be corrupted or lost within the retention period and the fault lies with DAMON Studio™, a complimentary studio session to re-record the affected material will be provided. Clients may request a copy of their project files at any time during the retention period; DAMON Studio™ will deliver this within five (5) business days.

3 - MIXING & MASTERING

3.1. Standard Mixing & Mastering: Unless a dedicated Mixing & Mastering fee is paid, mixing and mastering are performed according to the engineer's professional judgment. Client input will be considered, but the engineer is not obligated to implement every requested change. If the engineer declines a change, they must provide a reason. If the client insists on a change that the engineer does not recommend and the engineer agrees to proceed, DAMON Studio™ requires that the engineer not be credited as the mixing and mastering engineer on any release of that recording.
3.2. Additional Mixing & Mastering Revisions: Requests for specific alterations beyond the scope of our standard Mixing & Mastering service may incur an additional fee of up to AWG 50, at DAMON Studio™'s discretion. Minor adjustments may be accommodated without charge, subject to the engineer's availability and assessment.
3.3. Delivery Timeline & Format: The complete mixing and mastering process may take up to seven (7) calendar days from the date the session is finalized. Delivery will be made via the client's preferred method: Email, WhatsApp, or AirDrop. The standard deliverable is an MP3 file. A WAV file will be provided upon request at no additional charge. If the client requires individual track stems, these will be delivered via Email. DAMON Studio™ is not responsible for delays caused by the client's failure to provide necessary materials or feedback in a timely manner.

4 - BEAT MAKING

4.1. Beat Licensing — Non-Exclusive: Unless otherwise agreed in writing, beats produced or purchased through DAMON Studio™ are provided under a non-exclusive license. DAMON Studio™ retains the right to sell, license, or use the same beat for other clients. The client receives the right to use the beat for the specific purposes outlined at the time of purchase.
4.2. Beat Licensing — Exclusive: Exclusive beat licenses, when available, will be agreed upon in writing prior to purchase. Upon full payment for an exclusive license, DAMON Studio™ will cease licensing that beat to new clients. Producer credit is required on all commercially released recordings unless otherwise negotiated and agreed in writing.
4.3. Beat Ownership & Producer Credit: DAMON Studio™ (or the producing engineer) retains ownership of the underlying composition and production of all beats unless a full buyout is expressly agreed upon in writing. Clients are required to credit the producer on all public releases unless otherwise agreed.

5 - MUSIC DISTRIBUTION

5.1. Distribution Service: DAMON Studio™ offers music distribution services to digital streaming platforms and online stores (including but not limited to Spotify, Apple Music, and YouTube Music) on behalf of the client.
5.2. Royalty Fee: In consideration for distribution services, DAMON Studio™ retains twenty percent (20%) of all royalties generated from the distributed content. The remaining eighty percent (80%) will be remitted to the client. By agreeing to distribution services, the client authorizes DAMON Studio™ to collect and administer royalties on their behalf.
5.3. Royalty Reporting & Payment: Royalty statements and payments will be provided to the client on a quarterly basis, or as otherwise agreed in writing. DAMON Studio™ will make reasonable efforts to ensure accurate reporting based on information received from distribution partners.
5.4. Client Warranties: The client warrants that they hold all necessary rights, licenses, and permissions for any content submitted for distribution, including underlying compositions, samples, and any third-party contributions. The client indemnifies DAMON Studio™ against any claims arising from a breach of this warranty.
5.5. Takedown & Termination of Distribution: Either party may terminate distribution services with thirty (30) days' written notice. DAMON Studio™ also reserves the right to remove distributed content from all platforms immediately and without prior notice in the event of an outstanding unpaid balance for any DAMON Studio™ service, a breach of these Terms & Conditions, or a valid legal claim against the distributed content.

6 - PAYMENT

6.1. Payment Policy: All services and packages must be paid for in full prior to the commencement of the session or service, unless a separate written payment arrangement has been agreed upon with DAMON Studio™ in advance.
6.2. Open Balances: Any outstanding balance must be settled before DAMON Studio™ will accept new bookings or fulfill additional service requests from that client. This policy ensures fair and timely service for all clients.
6.3. Late Payment & Interest: If, by prior arrangement, payment is deferred and full payment is not received within three (3) months of the service date, DAMON Studio™ will charge a late payment fee equal to ten percent (10%) of the outstanding balance or AWG 25.00, whichever is greater. This late payment fee is added to and forms part of the outstanding balance. This provision applies to all services except Music Distribution, which is governed by Section 5.
6.4. Partial Payments: Partial payment does not constitute settlement of the agreed amount and remains a breach of the payment agreement. DAMON Studio™ delivers complete, professional services and expects full payment in accordance with the agreed terms.
6.5. Legal & Collection Costs: In the event that DAMON Studio™ is required to take legal action or engage third parties to recover any unpaid amounts, the client shall be responsible for all associated legal costs, attorney fees, and collection expenses. Any such proceedings will be conducted in accordance with the laws of Aruba.
6.6. Consequences of Unsettled Balances: In the event of an outstanding unpaid balance for any service rendered by DAMON Studio™, we reserve the right to take all necessary actions to recover the amount owed. This includes, but is not limited to, the removal and takedown of associated songs from all digital platforms on which they have been distributed through DAMON Studio™, including Spotify, Apple Music, YouTube, and others. This right applies across all services, including cases where the balance relates to beat production or cover art.
6.7. Payment Plans & Communication: DAMON Studio™ understands that financial difficulties can arise. Clients experiencing payment challenges are encouraged to contact us proactively. Payment plans may be considered at DAMON Studio™'s sole discretion and must be agreed upon in writing before any payment deadline passes.

7 - RIGHTS & OWNERSHIP

7.1. Client Ownership: Upon receipt of full payment, the client retains full ownership of all original recordings produced during their studio sessions. This does not include the underlying beats or compositions, which remain subject to the applicable licensing terms in Section 4.
7.2. Promotional Use: DAMON Studio™ reserves the right to use short snippets or excerpts of recordings produced in our studio for promotional and marketing purposes (e.g., social media, portfolio) unless the client expressly opts out in writing prior to or during the session.

8 - STUDIO CONDUCT

8.1. Client Conduct: All clients and their guests are expected to conduct themselves in a respectful and professional manner at all times. DAMON Studio™ reserves the right to terminate a session without refund and to deny future services to any client or guest who exhibits disruptive, threatening, or inappropriate behavior.
8.2. Noise Control: Clients and guests must maintain a quiet environment during recording sessions. Excessive noise that disrupts an active recording session may result in the individual being asked to leave the studio.
8.3. Cleanliness & Food Policy: Clients are welcome to eat and drink within the studio. However, the studio space must be kept clean at all times. If the studio is left in an unsatisfactory condition following a session, a cleaning fee of up to AWG 150.00 may be charged. Repeated violations may result in the revocation of food and drink privileges.
8.4. Smoking Policy: Smoking of any kind, including cigarettes and cigars, is strictly prohibited inside the studio. The use of vaporizers (vapes) is permitted indoors; however, DAMON Studio™ reserves the right to revoke this privilege at any time. All other forms of smoking must take place outside the premises.
8.5. Alcohol Policy: Responsible alcohol consumption is permitted on the premises. Clients and guests are expected to remain respectful toward staff and other studio users at all times. Disruptive behavior related to alcohol consumption will result in a formal warning. A third instance following two prior warnings will result in a ban from the studio.
8.6. Drug Policy: The possession, use, or distribution of illegal substances on or around the studio premises is strictly forbidden and will result in immediate removal from the premises. DAMON Studio™ reserves the right to involve the relevant authorities where required by law.
8.7. Damage Policy: Clients are financially responsible for any damage caused to studio equipment, furniture, or property by themselves or their guests. The cost of repair or replacement will be invoiced to the client and is payable within fourteen (14) days of the invoice date.

9 - STUDIO OPERATIONS

9.1. Surveillance: DAMON Studio™ operates 24/7 CCTV surveillance cameras throughout the premises for the safety and security of our clients, staff, and equipment. By entering the studio, clients and guests consent to being recorded.
9.2. Privacy Policy: DAMON Studio™ is committed to protecting your personal information. Any personal data collected during the booking process or in the course of service delivery will be used solely for the purpose of providing our services and will be handled in accordance with applicable Aruban privacy laws. We do not sell or share your personal data with third parties without your consent, except where required by law.
9.3. Force Majeure: DAMON Studio™ shall not be liable for any delay or failure to provide services resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, power outages, civil unrest, or other unforeseeable events. In such cases, DAMON Studio™ will make reasonable efforts to reschedule affected sessions.

10 - GOVERNING LAW & ACCEPTANCE OF TERMS

10.1. Governing Law: These Terms & Conditions are governed by and shall be construed in accordance with the laws of Aruba. Any disputes arising out of or in connection with these Terms & Conditions, including disputes relating to their validity, breach, termination, or enforceability, shall be subject to the exclusive jurisdiction of the competent courts of Aruba.
10.2. Acceptance of Terms: By booking a session or using any DAMON Studio™ service, the client confirms that they have read, understood, and agree to be bound by these Terms & Conditions. Acceptance applies to all current and future bookings until the client is notified of an update.
10.3. Updates to Terms: DAMON Studio™ reserves the right to amend these Terms & Conditions at any time. Clients will be notified of material changes via the email address on file and will be given the opportunity to review and re-accept the updated terms prior to their next booking.
10.4. Severability: If any provision of these Terms & Conditions is found to be invalid, unlawful, or unenforceable under Aruban law, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.
