This is the Exclusive Agreement (the “Agreement”).
The following outlines the terms for DAMON ("Producer") producing recordings embodying the musical performance of Licensee ("Artist"). References to "Masters" include one (1) "Master." For valuable consideration, the parties agree:
Producer Commitment: Producer shall create one (1) musical composition, "Sample Track Title" (the "Composition"), featuring Artist's performance for a master recording ("Master"). The Composition remains Producer's property as a pre-existing composition; Artist's work is a derivative. The agreement covers the Universe. Artist acknowledges receipt and acceptance of the Master.
Rights: The Master (excluding the musical composition) is a "work made for hire" for Artist. If not, rights transfer to Artist. Artist has exclusive rights to manufacture, sell, license, perform, and create derivatives of the Master worldwide.
Fee: Artist pays Producer a non-returnable fee of AWG 350.00 ($199.99) upon agreeing to this agreement.
Controlled Compositions: If the Master includes compositions by Producer, Producer will issue mechanical licenses to Artist under the same terms as Artist's compositions. In the US and Canada, mechanical royalties are 100% of the statutory rate. Outside these areas, prevailing industry rates apply. Producer grants synchronization rights for promotional and commercial videos, sharing any royalties from commercial use.
Publishing Rights: The underlying composition's publishing rights are split 50% Artist and 50% Damon Illes.
Credit and Likeness: Artist may (not must) use Producer's name and likeness for trade purposes connected to the Master. Producer will be credited as "Produced by DAMON" on labels, liner notes, and advertisements.
Warranties and Indemnification: Producer and Artist warrant they have full rights to enter this agreement. Each party indemnifies the other against third-party claims. Producer ensures no unauthorized samples are used.
Artist acknowledges the Master is provided "as is" and waives claims for pre-existing licenses. Both parties will indemnify and hold each other harmless from third-party claims.
Miscellaneous: This agreement, governed by Aruban laws, covers the Universe. Notices are given by personal delivery or certified mail. Approvals will not be unreasonably withheld. This agreement is binding on successors and assigns and represents the entire agreement between the parties. Breaches must be cured within 30 days (15 days for payment issues). Artist is an independent contractor. Artist has the right to seek independent counsel. The agreement may be executed in counterparts and via facsimile, digital signature, or email, with such copies deemed as originals.
